Welcome to ViVideo ("we," "our," or "us"). By accessing or using our AI video generation platform, including our web application, mobile applications, and Chrome extension (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, please do not use our Services. We reserve the right to modify these Terms at any time. Your continued use of the Services after any changes constitutes acceptance of the new Terms.

2. Eligibility

To use our Services, you must:

• Be at least 13 years old (or 16 in some jurisdictions)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Services under applicable laws

• Store and manage generated video content

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

5. Subscription and Payments

5.1 Subscription Plans

We offer various subscription plans with different features and usage limits. Details of each plan, including pricing and features, are available on our website and within the application.

5.2 Billing and Payment

• Subscription fees are billed in advance on a recurring basis (monthly or annually)
• All payments are processed through secure third-party payment processors
• You authorize us to charge your payment method for all applicable fees
• Prices are subject to change with reasonable notice

5.3 Refunds

Subscription fees are generally non-refundable. However, we may offer refunds at our discretion in certain circumstances. For mobile app purchases, refunds are subject to the policies of the respective app store (Apple App Store or Google Play Store).

5.4 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to the Services until the end of your current billing period. No refunds will be provided for partial billing periods.

6. User Content and Generated Content

You retain ownership of all content you submit to the Services, including text prompts, images, and other materials ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store your content solely for the purpose of providing the Services.

6.2 Generated Content

Videos and other content generated by our AI using your prompts ("Generated Content") are owned by you, subject to:

• Compliance with these Terms and applicable laws
• Our underlying intellectual property rights in the AI technology
• Any limitations specified in your subscription plan

6.3 Content Responsibility

You are solely responsible for your User Content and Generated Content, including ensuring you have all necessary rights and permissions to use and distribute such content.

7. Acceptable Use Policy

You agree not to use the Services to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Create deepfakes or misleading content intended to deceive others
• Generate content that infringes on intellectual property rights of others
• Produce content depicting minors in any inappropriate manner
• Create content promoting violence, hate speech, or discrimination
• Generate sexually explicit or pornographic content
• Impersonate any person or entity without authorization
• Violate any applicable laws or regulations
• Attempt to bypass usage limits or security measures
• Use automated systems to access the Services without permission
• Interfere with or disrupt the Services or servers
• Reverse engineer or attempt to extract source code from the Services

We reserve the right to remove any content and suspend or terminate accounts that violate this policy.

8. Intellectual Property

The Services, including all software, algorithms, AI models, designs, text, graphics, and other content provided by ViVideo, are protected by intellectual property laws and remain our exclusive property.

• You may not copy, modify, distribute, or create derivative works of our Services
• Our trademarks, logos, and service marks may not be used without prior written consent
• Any feedback or suggestions you provide may be used by us without obligation

9. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of non-infringement
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or quality of any content

AI-generated content may contain errors, inaccuracies, or unexpected results. You acknowledge that you use the Services at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIVIDEO SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Services
• Damages arising from any content generated through the Services

Our total liability for any claims arising from these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless ViVideo and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your User Content or Generated Content
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

13. Third-Party Services

The Services may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

14. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Violation of our Acceptable Use Policy
• Request by law enforcement or government agencies
• Discontinuation of the Services
• Technical or security issues

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

15. Dispute Resolution

Before filing any formal dispute, you agree to contact us at legal@vivideo.ai to attempt to resolve the dispute informally within 30 days.

15.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with applicable arbitration rules. The arbitration shall be conducted in English.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ViVideo is incorporated, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms shall be brought exclusively in the courts of that jurisdiction.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and ViVideo regarding the Services and supersede all prior agreements and understandings.
